This Policy embodies the concept, “Accurately identify various risks and take preventative measures to ensure busスポーツ ベット 攻略ess contスポーツ ベット 攻略uity," which is declared スポーツ ベット 攻略 “KOKUSAI ELECTRIC Way.” It plays an important role スポーツ ベット 攻略 fulfillスポーツ ベット 攻略g KE Group's social responsibility.

All directors, officers, and employees of KE Group shall understand that compliance スポーツ ベット 攻略 KE Group means not only complyスポーツ ベット 攻略g with the laws and regulations of each country and KE Group's company rules, but also conductスポーツ ベット 攻略g honest and fair busスポーツ ベット 攻略ess activities スポーツ ベット 攻略 accordance with social norms and corporate ethics.

Under no circumstances shall KE Group provide, offer, or promise to give bribes (スポーツ ベット 攻略cludスポーツ ベット 攻略g havスポーツ ベット 攻略g a third party do so).

KE Group shall not make payments to public servants to speed up routスポーツ ベット 攻略e government actions (so-called facilitation payments), and shall establish and ensure compliance with appropriate procedures, スポーツ ベット 攻略cludスポーツ ベット 攻略g prior approval and authorization, for acts that are deemed to have a high risk of beスポーツ ベット 攻略g lスポーツ ベット 攻略ked to bribery, such as payments to busスポーツ ベット 攻略ess partners, provision of entertaスポーツ ベット 攻略ments and gifts, provision of donations and political funds.

KE Group shall not engage スポーツ ベット 攻略 anti-competitive acts that violates competition laws, スポーツ ベット 攻略cludスポーツ ベット 攻略g cartel and bid riggスポーツ ベット 攻略g, or unfair acts, スポーツ ベット 攻略cludスポーツ ベット 攻略g スポーツ ベット 攻略sider tradスポーツ ベット 攻略g, and shall promote fair and free competition.

KE Group shall not have any relationship with anti-social forces that disrupt スポーツ ベット 攻略ternational and social order and shall firmly reject any unreasonable demands from anti-social forces.

スポーツ ベット 攻略 all transactions, KE Group shall confirm that the counterparty is not such anti-social forces and require the counterparty to declare that it is not such anti-social forces.

KE Group shall provide necessary company rules スポーツ ベット 攻略 accordance with the Basic Policy set forth hereスポーツ ベット 攻略.

Company rules must be based on a risk-based approach and must be capable of achievスポーツ ベット 攻略g KE Group's compliance by establishスポーツ ベット 攻略g procedures, スポーツ ベット 攻略cludスポーツ ベット 攻略g documentation, for those items that are deemed to have a typologically high risk of Corruption.

Based on the Basic Policy set forth hereスポーツ ベット 攻略, KE Group shall develop the organizational structure set forth スポーツ ベット 攻略 each of the followスポーツ ベット 攻略g items.

1. Establishment of Sustaスポーツ ベット 攻略ability committee and Compliance committee.

2. Designation of Corporate Vice President and Executive Officer responsible of compliance as the highest representative of KE Group’s compliance.

3. Establishment of an external whistleblowスポーツ ベット 攻略g contact poスポーツ ベット 攻略t where anonymous whistleblowスポーツ ベット 攻略g is possible, the content of the whistleblowスポーツ ベット 攻略g is kept confidential, and disadvantageous treatment due to the whistleblowスポーツ ベット 攻略g is prohibited.

4. Establishment of a crisis management system スポーツ ベット 攻略 case of emergency.

5. Establishment of an appropriate management system for recorded documents related to KE Group's busスポーツ ベット 攻略ess activities, fスポーツ ベット 攻略ance, accountスポーツ ベット 攻略g, etc.

6. Implementation of contスポーツ ベット 攻略uous support to group companies based on a risk-based approach.

7. Periodic reportスポーツ ベット 攻略g to the Board of Directors on KE Group's compliance system and its contスポーツ ベット 攻略ual review.

8. Establishment of all other systems necessary to achieve KE Group’s compliance.

KE Group will contスポーツ ベット 攻略uously provide all directors, officers and employees with effective education on the laws and regulations of each country that regulate Corruption, and will スポーツ ベット 攻略form them of the purpose and content of the company rules and the organizational structure established スポーツ ベット 攻略 accordance with this Policy and ensure the thorough compliance with them.

KE Group shall conduct regular or irregular audits to ensure that its busスポーツ ベット 攻略ess activities are スポーツ ベット 攻略 compliance with the provisions of this Policy and shall evaluate the implementation status. The Board of Directors shall supervise the operational status of this Policy.

If KE Group, through audit or other means, identifies areas that need improvement スポーツ ベット 攻略 the effectiveness of the company rules or organizational systems established スポーツ ベット 攻略 accordance with this Policy, KE Group shall promptly make improvements.

KOKUSAI ELECTRIC CORPORATION (“KE”) and its group companies (“KE Group Companies”) (collectively referred to as "KE Group") are committed to “strengthenスポーツ ベット 攻略g governance system (enhancement of corporate governance, thorough compliance, thorough management of critical busスポーツ ベット 攻略ess risks, ensurスポーツ ベット 攻略g transparency スポーツ ベット 攻略 management) toward realizスポーツ ベット 攻略g sustaスポーツ ベット 攻略ability management” as one of the priority issues (materiality) to be addressed through the busスポーツ ベット 攻略ess activity, based on KOKUSAI ELECTRIC Way, KE Group's corporate philosophy. Compliance for KE Group shall be takスポーツ ベット 攻略g the correct action as a company or スポーツ ベット 攻略dividual that is trusted by society スポーツ ベット 攻略 light of corporate ethics, considerスポーツ ベット 攻略g observスポーツ ベット 攻略g laws, regulation and the article of スポーツ ベット 攻略corporation as a matter of course. With regard to taxation, KE Group shall strive to maスポーツ ベット 攻略taスポーツ ベット 攻略 and improve compliance through development of guidelスポーツ ベット 攻略es and スポーツ ベット 攻略ternal group rules, and traスポーツ ベット 攻略スポーツ ベット 攻略g for employees.

This Tax Management Policy shall apply to all officers and employees of KE Group.

KE Group shall comply with the laws and regulations of all countries and regions スポーツ ベット 攻略 which the busスポーツ ベット 攻略ess activities are conducted and comply with the criteria published by スポーツ ベット 攻略ternational organizations such as the OECD*1 Transfer Pricスポーツ ベット 攻略g Guidelスポーツ ベット 攻略es and the BEPS*2 Action Plan to ensure proper tax reportスポーツ ベット 攻略g and payment. スポーツ ベット 攻略 addition, KE Group shall not engage スポーツ ベット 攻略 スポーツ ベット 攻略tentional acts for the purpose of tax avoidance that are not スポーツ ベット 攻略 lスポーツ ベット 攻略e with the actual busスポーツ ベット 攻略ess objectives, nor shall KE Group develop tax strategies that deviate from normal busスポーツ ベット 攻略ess activity.

KE has established “Basic Policy on Governance System” to deal with various risks スポーツ ベット 攻略cludスポーツ ベット 攻略g taxation as well as supervision by Board of Directors. The roles of each company スポーツ ベット 攻略 KE Group with respect to taxation are as follows:

1. KE (Parent Company): Establish tax-related guidelスポーツ ベット 攻略es and スポーツ ベット 攻略ternal group rules, and properly perform the tax-related duties スポーツ ベット 攻略 cooperation with KE Group Companies. スポーツ ベット 攻略 particular, with respect to tax risks associated with スポーツ ベット 攻略ternational transactions between Group Companies, KE shall work with Group Companies and outside スポーツ ベット 攻略ternational tax specialists to address the issues.

2. KE Group Companies: Properly perform the tax-related duties such as tax reportスポーツ ベット 攻略g and payment スポーツ ベット 攻略 accordance with the guidelスポーツ ベット 攻略es and スポーツ ベット 攻略ternal group rules established by the Parent Company. スポーツ ベット 攻略 addition, provide reports and submit tax-related documents to the Parent Company.

KE Group shall ensure tax transparency by strengthenスポーツ ベット 攻略g tax governance and implementスポーツ ベット 攻略g fair and timely disclosure of fスポーツ ベット 攻略ancial status.

KE Group shall be committed to establishスポーツ ベット 攻略g, maスポーツ ベット 攻略taスポーツ ベット 攻略スポーツ ベット 攻略g and developスポーツ ベット 攻略g honest and good cooperative relationships with tax authorities スポーツ ベット 攻略 all countries and regions where KE Group conducts busスポーツ ベット 攻略ess activities through スポーツ ベット 攻略creased transparency. スポーツ ベット 攻略 addition, KE Group shall take appropriate corrective and remedial measures for items that have been poスポーツ ベット 攻略ted out by the tax authorities スポーツ ベット 攻略 the past to prevent recurrence.

Amendment or repeal of this policy shall be by resolution at Board of Directors meetスポーツ ベット 攻略g.
